SURRENDER AND CANCELLATION OF GLOBAL DEPOSITARY RECEIPTS REPRESENTING ORDINARY SHARES OF PUBLIC JOINT STOCK COMPANY “MEGAFON”

Holders of Global Depositary Receipts representing ordinary shares of Public Joint Stock Company “MegaFon” (the “GDRs” and “PJSC MegaFon”, respectively) may, in accordance with the provisions of the Deposit Agreement (as defined below), surrender and cancel all or part of their GDRs and take delivery of the relevant number of the ordinary shares of PJSC MegaFon represented by the GDRs.

Surrender of the GDRs is subject to the payment of relevant fees to The Bank of New York Mellon (the “GDR Depositary”) and other provisions of the Deposit Agreement between the GDR Depositary and PJSC MegaFon, dated August 24, 2012, as amended by supplemental agreements dated June 2, 2014 and May 28, 2015 (the “Deposit Agreement”).

GDR holders should note that the procedure for delivery of the ordinary shares of PJSC MegaFon represented by the GDRs upon the surrender and cancellation of the GDRs may take at least 10 Russian business days. This period does not include the time necessary for the opening of a securities account for the receipt of the ordinary shares of PJSC MegaFon represented by the GDRs.

To surrender and cancel the GDRs the GDR holders are advised to notify their broker of the deadline by which they would like to receive the ordinary shares represented by the GDRs and inform them of the instructions set forth below. Once the broker submits the GDR cancellation instruction, the broker can contact drsettlements@bnymellon.com or +353 1-900-34-66 / +1 212-815-2231 for status updates.

The specific steps to be followed by GDR holders and/or their brokers are as follows:

For Rule 144A GDRs:

  1. Deliver the GDRs via The Depository Trust Company (“DTC”) to the GDR Depositary, DTC participant number 2504, account number 016201. Indicate in the comment field, “See email instructions”. The GDR Depositary will upon receipt of the instruction charge a fee of $0.05 per GDR fee (rounded up to the nearest 100 GDRs) and other applicable fees.
  2. Create delivery instructions on company letterhead to be emailed to drinstructions@bnymellon.com from a group email address where at least one other person is copied on the email and include the following information:
    1. Security Name
    2. CUSIP Number
    3. Settlement Date
    4. Number of GDRs
    5. Institution where the ordinary shares will be delivered to in the local market or corresponding NSD delivery details which should include Depositor’s Code (NSDR/....(12 characters) and Depositor sub-account (should contain two letters and 10 digits/17 characters).
  3. Email the instructions on company letterhead DRinstructions@bnymellon.com.
  4. Complete QIB form and email to drinstructions@bnymellon.com. The forms can be found at https://www.adrbnymellon.com/resources/broker-forms, pages 3-4.
  5. After the GDR Depositary receives the GDRs, valid instructions and payment of applicable fees, it will instruct its custodian (i.e. Sberbank of Russia) to deliver the ordinary shares. GDR holders should ensure that their custodian is set up to accept delivery of the ordinary shares of PJSC MegaFon. Details of the custodian of the GDR Depositary: Sberbank of Russia; BIC: SABRRUMM; PSET: NADCRUMMXXX, Depositor’s code: MC0002500000, Depositor’s account: ML9403170499, Depositor’s sub-account: DR000000000000000.

For Regulation S GDRs:

  1. Process a type 40 instruction in Euroclear Bank SA/NV (“Euroclear”) or an instruction to Clearstream Banking, société anonyme (“Clearstream”). GDR holders or their brokers may contact the Euroclear Customer Service Team at +32 2-326-2098 or the Clearstream Settlement Team at +35 2-2-433-6591 for further assistance. The instruction must include the following information:
    1. Security Name
    2. CUSIP Number
    3. Settlement Date
    4. Number of GDRs
    5. Institution where the ordinary shares will be delivered to in the local market or corresponding NSD delivery details which should include Depositor’s Code (NSDR/....(12 characters) and Depositor sub-account (should contain two letters and 10 digits/17 characters).
  2. After the GDR Depositary receives a valid swift instruction from Euroclear or Clearstream, the GDR Depositary will bill Euroclear/Clearstream $0.05 per GDR fee (rounded up to the nearest 100 GDRs) and other applicable fees.
  3. After the GDR Depositary receives the GDRs, valid instructions and payment of applicable fees, it will instruct its custodian (i.e. Sberbank of Russia) to deliver the ordinary shares. GDR holders should ensure that their custodian is set up to accept delivery of the ordinary shares.

GDR holders should be aware that they may have tax liabilities in Russia and other applicable jurisdictions in connection with the surrender and cancellation of the GDRs and taking delivery of the ordinary shares of PJSC MegaFon represented by the GDRs and in connection with other operations in respect of the shares of PJSC MegaFon. GDR holders are urged to consult their tax advisers at their own expense in respect of any potential tax consequences in connection with the foregoing.
